C. McKinnis Concentrates in the legal, financial, intellectual property
and international trade issues of emerging technology companies |
He
is the founding and managing partner of McKinnis Law Offices, of New
York City, Bronxville, NY and Shelton, Connecticut, which represents
emerging technology companies in the telecommunications, semiconductor,
computer science and Internet industries. |
Mr. McKinnis has
aided in multiple startups as a lawyer and in some cases as a principal,
a number of which became public companies in Canada and the United
States. He has been a member of four boards of directors of technology
companies. Due to his long career in technology, Mr. McKinnis has access
to a wide network of technology and related business experts.

Before establishing his own law offices, Mr. McKinnis was a senior ITT
Headquarters attorney responsible for domestic and overseas
telecommunications, electronics and computer industries and was General
Counsel of ITT’s Telecommunications Research and Development
Laboratories. Before joining ITT, he was a Vice President and General
Counsel of an overseas merchant bank and was trained in corporate and
financial matters by a leading New York City law firm.

Reorganized intellectual property and
contract practices of public Canadian company;

Negotiated international contracts for a Boston telecommunications

Prepared
a telecom hardware house for and worked with SEC counsel to
complete multiple financial transactions, including an IPO and two
secondary offerings;

Negotiated and closed the $53 million sale of a telecom SW company
to a telecom conglomerate;
|

|
Negotiated and closed the $10 million sale of a medical SW company
to a NY advertising firm;

Negotiated patent licenses with ALCATEL on behalf of a US
manufacturer for ALCATEL’s most advanced digital switching system
and, on behalf of a startup, for ALCATEL’s parallel processing
technology;

Merged
two U.S. startups with Canadian public companies that provided the
startups with operating capital;

|
Organized
a startup in blood anti-viral compounds with possible efficacy
against the HIV Virus and negotiated its sale to a health products
company;

of UN Missions to aid the Government of Honduras in the possible
privatization of HONDUTEL, the Honduras public telephone and
telegraph utility, and the Government of Bolivia in structuring an
international public licitation for a national concession
contract.

for the ITT Technical Department and its US$3 billion project to
develop the world’s most advanced digital ISDN switching system;

Counsel of submicron VLSI fabrication center, from construction
and purchase of processing equipment through production and
transfer of Unit to ITT Europe;

Member of
a five person legal team that sold all of ITT Telecommunications
and Electronics to a French conglomerate without outside counsel:
a three billion US dollar sale of over 250 companies throughout
the world. This effort was favorably reported in legal journals;

Reviewed
and approved or renegotiated software licensing and development
agreements for ITT Units throughout the US; wrote ITT Policy on
software licensing and development agreements;
